1. Introduction
1.1. By entering into any contract or agreement with citrusync (referred to as "citrusync", "us" or "we") for products and/or services including, without limitation, ordering any products or services through the citrusync.com website (hereafter referred to as your "contract" with citrusync) you, the Client (referred to as "Client" or "you") agree to comply with, abide by and be legally bound by the policies and Terms and Conditions herein (the "Terms and Conditions"), including those Terms and Conditions incorporated by reference. These Terms and Conditions govern every contract made between citrusync for the supply of goods and services to any person, firm or company and prevail over any written terms and conditions of the Client. Please read these terms and conditions carefully.
1.2. Citrusync reserve the right to amend, modify, update or change these Terms and Conditions at any time without notice. You agree that it is your responsibility to view these Terms and Conditions, and also agree that citrusync is not liable to you or any third party for any amendment, modification or change to these Terms and Conditions.
2. Citrusync Service
2.1. Description
a. The citrusync service is an online graphic design service generally, which primarily provides a logo design service in the course of its business. Individuals, companies or entities that have signed up as a Client can post specific project descriptions, including illustrative examples (herein, a "Design Brief"), obtain responses (herein, a "Response) from design experts, and revise those Design Briefs (herein, "Revision(s)") at each stage of the drafting cycle, until a final Response is agreed.
b. Citrusync will provide each Client with the service according to the package chosen, as detailed on citrusync.com. You, as a Client, agree to be fully responsible fro preparing, revising and posting any Design Brief or Revision(s) to the website, and citrusync is not liable for the quality or clarity of content or any inaccuracies or incompleteness of information submitted in the Design Brief or during the Revision process.
2.2. Amendments
a. You agree and acknowledge that citrusync may change, modify or alter any or all of the citrusync.com website at anytime. In consequence, the website may be unavailable to you from time to time to allow for updates and essential maintenance.
b. Citrusync periodically review, update and revise our provision of products and services. Any product or service may be discontinued at anytime without notice. All pricing on the website is subject to change at our sole discretion and without notice. We reserve the right to make adjustments and/or introduce special offers in relation to product or service discontinuation, supplier price changes, errors in advertisements or in relation to changing market conditions. There will be no change in price for orders already accepted (including orders in progress), even if we are in the process of implementing a price change on our website or advertised rates.
2.3. Scope of Project
a. The number of initial concepts, number of requestable redraws as well as the number of allocated designers varies according to the package type ordered. In the event that the Client requests additional changes, beyond the scope of their package (excluding unlimited revisions, which cover material changes to any existing design), they will be subject to additional charges of 50 GBP per designer hour. Any additional design requests outside of the specific quote of the package are subject to the same hourly charge.
b. For citrusync products and services that include revisions as part of the package, the Client is provided with the opportunity to review their initial designs and post feedback on changes to those designs, as well as any subsequent changes or revisions. As stated in the individual package, a Client can request unlimited revisions.
c. The purpose of revisions is to move the project forward in the specific direction determined by the Client, and will comprise between 3-9 additional compositions (concepts) incorporating the change the Client has requested (the number of compositions or concepts is determined by the package type selected when placing an order), unless directed otherwise by a Client. Each additional composition (beyond those included in the package), at this stage, is subject to payment of 50 GBP per concept. No work, which requires payment, will be started without a Client's authorisation.
d. Redraws can only be requested at the point when the initial concepts are ready for viewing. Once a particular design type has been taken forward, a Client forfeits their right to request any free additional redraw(s). However, any additional redraw request can be considered subject to our fee of 50 GBP per designer hour.
e. The Client will be notified by email when their initial concepts are ready for viewing and will be instructed on where to view those designs and post feedback. Once notified, a Client has 30 calendar days to view those initial designs, respond and provide feedback. Failure to provide feedback within 30 calendar days constitutes a Client's acceptance that the product or service is completed. Clients will also be notified by email when their revised designs are ready for viewing. The same conditions apply, with the exception that feedback is required within 3 calendar days for the subsequent round of revisions as well as any further revisions beyond this point. Failure to provide feedback within 3 calendar days at each subsequent revision cycle constitutes acceptance that the product or service is completed. In each case, the product will be then be made available for delivery according to our delivery policy below. Citrusync will be under no further obligation to the Client, unless they specifically order, and we specifically accept any additional order.
3. Eligibility, Access and Use of Service
3.1. Clients must be at least 18 years of age in order to register, and must agree to these Terms and Conditions. By registering as a Client, you agree to these eligibility requirements. Also, by registering with the citrusync service, Clients also agree that they should not disclose their account information (including account name and password) to any other party without the express written permission of citrusync. As a Client, you further acknowledge and agree that you will be responsible for each and every access that occurs in conjunction with the account and password given to you by citrusync, and that citrusync are authorised to accept, as conclusive evidence, the use of the account information and password for exclusive access to the website. You hereby acknowledge and agree that you are responsible for any damage or repercussions occurring from misuse of your account. Any indiscretion should be reported immediately to office@citrusync.com.
3.2. Payment
a. Payment is required in full for all products and services in advance of any work commencing by citrusync.com. Citrusync shall be entitled, in its absolute and sole discretion, to withhold any products or services it is otherwise obligated to provide or deliver under your contract until such time as payment has been received in full. The same conditions will apply if any additional charges are due.
b. Citrusync accept all major debit or credit cards or payment can be made via direct bank transfer (details on invoice). We reserve the right to amend our fee policy at any time, but any such fee change will not apply to projects submitted before any such change has been implemented.
3.3. Refunds
a. Citrusync provide all files in digital format, hence there are actually no physical products to return for refund or exchange. Citrusync will, however, replace any damaged files with the same files free of charge, if such a request is made. The same policy applies to files delivered on recordable media, where a full exchange will be provided, at our discretion, with no additional cost to the Client.
b. We guarantee 100% satisfaction with our logo and stationery design packages, but if you are not entirely satisfied you can request your money back in full (minus a 40 GBP service and administration charge). However, our refund policy only applies if requested by a Client prior to any revisions, redraws or similar requests made. Clients waiver their right to refund if they have reviewed any initial concepts and provided feedback on those designs or if they have approved any design.
c. Refund requests should be submitted in writing to office@citrusync.com alongside a request for a refund form. Any such request, including completion of the refund form, must be made within 30 days of the initial (first round) logo concepts being made available. A Client forfeits their right to refund if any requests or refund forms are not completed within this time period.
d. Any Client who receives a refund for work started further agrees that he/she has no right, permission, or ownership over any logo concept or design developed on their behalf.
e. Refunds are only available to the actual Client for whom the logo was created, and not to any entity acting on their behalf (including parties that have placed an order on behalf of another entity). A refund will neither be issued if the Client's company closes or changes its name. Refunds are only available for logo and stationery design packages, and do not apply for any other product or service.
